1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of NOLA SMS Pro, an integration platform that operates inside GoHighLevel and enables businesses to send SMS messages to Philippine mobile numbers. NOLA SMS Pro is a product of NOLA WEB SOLUTIONS and NOLA CRM ("we," "us," or "our"). By accessing or using NOLA SMS Pro, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.

2. Description of Service

NOLA SMS Pro is an integration platform that connects to GoHighLevel, allowing users to send and automate SMS messages to Philippine mobile numbers through GoHighLevel workflows and conversations. Our services include:

• A native SMS action within GoHighLevel workflows and automations.
• Integration with GoHighLevel Conversations for SMS management.
• A web app dashboard for managing your SMS integration, Sender ID, API keys, and message settings.
• Branded Sender ID registration with Philippine telecommunications providers.
• SMS delivery to Philippine mobile numbers through local telecom infrastructure.

NOLA SMS Pro is an integration platform and does not operate as a standalone messaging service. All SMS sending is initiated through your GoHighLevel account.

3. Eligibility and Account Registration

To use NOLA SMS Pro, you must be at least 18 years of age and have a valid GoHighLevel account. You are responsible for maintaining the confidentiality of your account credentials, API keys, and GoHighLevel connection tokens. You agree to notify us immediately of any unauthorized use of your account.

4. Acceptable Use Policy

You agree not to use NOLA SMS Pro to:

• Send unsolicited, unwanted, or spam SMS messages in violation of the National Telecommunications Commission (NTC) regulations and the Data Privacy Act of 2012.
• Send SMS messages without the proper consent of recipients, where required by Philippine law.
• Send content that is illegal, defamatory, harassing, threatening, obscene, or otherwise objectionable under Philippine law.
• Send messages containing fraudulent, deceptive, or misleading content.
• Impersonate any person or entity, or falsely represent your affiliation with a person or entity.
• Attempt to interfere with, disrupt, or compromise the security of our platform or Philippine telecommunications networks.
• Resell, sublicense, or redistribute our services without our express written permission.
• Use the service for any purpose that violates applicable Philippine laws or regulations.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, without refund, and may be reported to the NTC or other relevant authorities.

5. Sender ID Registration and Approval

Branded Sender ID registration is subject to approval by Philippine telecommunications providers. We submit Sender ID applications on your behalf, but approval is not guaranteed and is at the sole discretion of the telecommunications providers. The approval process typically takes 5–7 days. We are not liable for delays or rejections in the Sender ID approval process, as these are determined by the telecommunications providers.

6. SMS Delivery

NOLA SMS Pro facilitates the delivery of SMS messages to Philippine mobile numbers through local telecommunications providers. While we strive to ensure reliable delivery, we do not guarantee that all messages will be successfully delivered. SMS delivery may be affected by factors outside our control, including but not limited to:

• Recipient mobile phone status (turned off, out of coverage, full inbox, etc.).
• Telecommunications provider network conditions and routing.
• Recipient carrier filtering or blocking.
• Sender ID approval status and carrier-specific policies.

NOLA SMS Pro currently supports one-way SMS only (outbound messages from your business to recipients). Two-way SMS (inbound replies) is not supported at this time.

7. Pricing and Billing

NOLA SMS Pro offers subscription plans as displayed on our pricing page. By subscribing to a plan, you agree to pay the applicable fees. Pricing is subject to change, but changes will not affect existing subscribers during their current billing period. Founding Member pricing is a limited-time offer and may be modified or discontinued at our discretion.

SMS credits included in your plan are provided on a monthly basis and do not roll over. Additional SMS credits beyond your included allocation are billed at the rates displayed on your dashboard. All fees are quoted in Philippine Pesos (₱) unless otherwise stated.

8. Trial Period

Founding Members are not charged for the first 5 days after registration. After the trial period, your subscription billing begins automatically. You may cancel your subscription before the trial period ends to avoid being charged. Sender ID approval typically takes 5–7 days, and we recommend initiating your setup promptly after registration.

9. Refund Policy

Subscription fees are non-refundable except where required by Philippine law. If you cancel your subscription, you will continue to have access to the service until the end of your current billing period. SMS credits purchased separately are non-refundable once used or expired.

10. Intellectual Property

NOLA SMS Pro, including its software, design, branding, and content, is the intellectual property of NOLA WEB SOLUTIONS and NOLA CRM. You may not copy, modify, distribute, or create derivative works from our platform without our express written permission. GoHighLevel is a trademark of its respective owner, and we are not affiliated with or endorsed by GoHighLevel beyond our status as an integration partner.

11. User Content and Responsibility

You are solely responsible for the content of all SMS messages sent through NOLA SMS Pro. You must ensure that your messages comply with all applicable Philippine laws and regulations, including but not limited to the Data Privacy Act of 2012, NTC regulations on SMS marketing, and consumer protection laws. You are responsible for obtaining proper consent from recipients before sending marketing or promotional messages.

NOLA WEB SOLUTIONS and NOLA CRM are not liable for the content of messages sent by users through our platform.

12. Limitation of Liability

To the maximum extent permitted by Philippine law, NOLA WEB SOLUTIONS and NOLA CRM shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of NOLA SMS Pro. Our total liability for any claim arising from these Terms shall not exceed the amount you have paid us in the three (3) months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless NOLA WEB SOLUTIONS, NOLA CRM, and their officers, directors, employees, and partners from any claims, damages, liabilities, costs, and expenses (including legal fees) arising from your use of NOLA SMS Pro, your violation of these Terms, or your violation of any applicable Philippine law or third-party rights.

14. Termination

You may cancel your subscription at any time through your dashboard. We may suspend or terminate your account if you violate these Terms, fail to pay applicable fees, or engage in conduct that we determine is harmful to our platform, users, or Philippine telecommunications networks. Upon termination, your right to use NOLA SMS Pro ceases immediately.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of the Philippines. Any disputes arising from these Terms or your use of NOLA SMS Pro shall be resolved through good-faith negotiations. If the dispute cannot be resolved through negotiation, it shall be submitted to mediation in the Philippines. If mediation fails, the dispute shall be resolved by the courts of the Philippines with jurisdiction over NOLA WEB SOLUTIONS.

16. Changes to These Terms

We may modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of NOLA SMS Pro after changes are posted constitutes your acceptance of the revised Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid under Philippine law, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
